TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURAL PLAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• • Your access to, use of, or inability to access or use our services
• • Any conduct or content of any third party on our services
• • Unauthorized access, use, or alteration of your transmissions or content
• • Any other matter relating to our services

10. Exclusion of Consequential Damages

IN NO EVENT SHALL NEURAL PLAY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO NEURAL PLAY IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Force Majeure Provisions

Neural Play shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Multnomah County, Oregon for the resolution of any disputes.

13. Dispute Resolution Procedures

In the event of any dispute arising out of or relating to these Terms and Conditions:

• 1. The parties shall first attempt to resolve the dispute through good faith negotiations
• 2. If negotiations fail within thirty (30) days, either party may pursue mediation
• 3. If mediation is unsuccessful, disputes may be submitted to binding arbitration or litigation as appropriate
• 4. Each party shall bear its own costs except as otherwise awarded by a court or arbitrator

14. Severability Clause

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The invalid provision shall be replaced with a valid provision that most closely matches the intent of the original provision.

15. Terms Modification Policy

Neural Play reserves the right to modify or replace these Terms and Conditions at any time at our sole discretion:
